Accordingly, the requisite consents of a majority to adopt the proposed amendments to the indenture governing the Notes have been received, and a supplemental indenture to effect the proposed amendments described in the Offer to Purchase and Consent Solicitation Statement dated May 29, 2013 (the "Offer to Purchase"), has been executed. The amendments provided for in the supplemental indenture will become operative on the date that validly tendered Notes are purchased by Ingles pursuant to the Offer on the initial payment date. Holders still have until 5:00 p.m., New York City time, on June 11, 2013 (the "Consent Payment Deadline"), to tender to receive the total consideration which includes the $20.00 per $1,000 consent payment. The Offer remains open and is scheduled to expire at 11:59 p.m., New York City time, on June 25, 2013, unless extended or earlier terminated (the "Expiration Date"). Completion of the Offer is subject to satisfaction or waiver by the Company of a number of conditions, as described in the Offer to Purchase.
